Terms of Service

Version 2.0 · Last updated October 21, 2026

These terms are an agreement between you and One Toronto Entertainment ("Black Owned", "we", "us"), which operates the Black Owned app and website from Toronto, Canada. By creating an account or using Black Owned, you agree to these terms and to our Privacy Policy. If you do not agree, do not use Black Owned.

1. Who can use Black Owned

  • You must be 18 years of age or older. Black Owned is an adults-only service and is not for anyone under 18.
  • One account per person. Accounts are for you alone — don't create accounts for others, share your login, or use an automated or duplicate account.
  • The information you give us must be accurate and current — your name, email, business details, and anything you list for work.
  • You confirm you can enter into a binding contract with us and that you are not barred from using the service.
  • If you use Black Owned on behalf of a business, you confirm you are allowed to accept these terms for that business.

2. The service

Black Owned is a community app for Black entrepreneurs and professionals in the Greater Toronto Area and the diaspora. It includes:

  • Networking — a discovery feed of members, connections, and direct messages between members.
  • Business directory — listings for Black-owned businesses, searchable by members.
  • Dating mode — an optional mode for members who choose it. It is not required to use the app.
  • Let's Work — a marketplace where members can publish a service profile or a job post, agree work between them, and rate each other afterwards. See section 5 — we are not a party to that work.
  • Promotions — paid placement for businesses, clearly labelled "Promoted". See section 6.

We may add, change, pause or remove features, and we may set limits (for example how many promotions can be active at once).

3. Your account and security

Keep your password private and use a strong, unique one. You are responsible for activity that happens through your account. If you think your account has been compromised, change your password and tell us at privacy@blackownedapp.ca.

4. Member conduct and prohibited content

Be honest and be decent. You agree not to:

  • Harass, threaten, stalk, defame, or discriminate against anyone, including on the basis of race, colour, ancestry, religion, gender, gender identity, sexual orientation, disability, age, or national origin.
  • Post or send anything unlawful, hateful, sexually explicit, violent, or that sexualizes or endangers minors. See our Child Safety Standards.
  • Impersonate anyone, or misrepresent your identity, your business, your credentials, or your affiliations.
  • Send spam, scams, chain letters, pyramid schemes, or mass unsolicited promotions to members.
  • Harvest, scrape, or copy other members' data, or use Black Owned to build a competing directory, database, or mailing list.
  • Upload malware, probe or bypass our security, or access data you are not meant to see.
  • Use bots, scripts, or other automated tools to create accounts, message members, or inflate views, code copies, or other promotion analytics.
  • Create a profile or a listing for anything sexual, adult, gambling, weapons, drugs, or otherwise illegal.
  • Post other people's photos or personal information without their permission.
  • Promise work, services, or goods you don't intend to deliver, or ask members for money for something you won't provide.

Photos and content you post must be yours, or posted with permission.

We may review, hold, or remove content, and we may suspend or terminate accounts that break these terms, risk other members, or where the law requires it. Serious cases — including child sexual abuse material, threats of violence, and fraud — lead to immediate termination and, where appropriate, a report to law enforcement.

5. Let's Work — important limits

  • Black Owned is never the employer. We are not an employer, recruiter, staffing agency, broker, or agent for any job, gig, or service arranged through the app.
  • We are not a party to your agreements. A work agreement you create in the app is between the two members alone. We don't negotiate it, guarantee it, or enforce it, and we are not responsible for how it turns out.
  • We never handle payments between members. We don't process, hold, escrow, or guarantee money for member work, and we take no fee or commission on it. Pay each other directly, on whatever terms you agree.
  • You must confirm what matters before you hire or work. Qualifications, licences, insurance, permits, tax, and any employment or immigration requirements are your responsibility.
  • Rate, timeline, quality, and safety are between you and the other member. Ratings and reviews are the reviewer's own opinion, not ours. Disputes about pay, work quality, or an agreement are between you and the other member — we can't recover money or force someone to finish work. We can, however, act on accounts that break these terms when you report them; every profile, post, and message has Report and Block.

6. Promotions and paid placement

  • Businesses can pay to promote a business, an offer, or a post in the app. Promoted content is labelled "Promoted" so members can tell it apart from organic content.
  • The offer, promo code, price, terms, and availability in a promotion belong to the business alone. Black Owned does not verify offers, does not redeem or honour promo codes, and is not a party to any deal between a member and a business.
  • Businesses must keep offers accurate — no misleading claims, no expired codes advertised as active, no fake urgency.
  • Promotion analytics (views, code copies, calls-to-action, and similar events) are estimates of activity inside the app. They are provided for interest, and they are not a promise of sales, customers, or revenue.
  • We may reject, hold, or end a promotion that breaks these terms or the law. Payment, duration, and any refund terms are shown at the time of purchase and are handled by our payment provider.

7. Your content and the licence you give us

  • You keep ownership of your content — your profile, photos, bio, business details, posts, listings, messages, and reviews.
  • You give Black Owned a worldwide, non-exclusive, royalty-free licence to host, store, reproduce, display, and distribute your content as needed to run, promote, and improve the app. This licence ends when you delete the content or your account — except for copies kept in backups, records the law requires us to keep, and content other members have already shared or that has been aggregated in a way that doesn't identify you.
  • You promise you have the rights to what you post and that it doesn't break anyone else's rights or any law.
  • We may — but don't have to — review or moderate content. We don't endorse what members post.

8. Moderation, suspension, and closing your account

  • We may hold, remove, or limit content, restrict features, and suspend or close accounts if we believe content or behaviour breaks these terms, risks other members, or is required by law.
  • You can stop using Black Owned whenever you like, and delete your account yourself: Settings → Account → Delete account. See Delete your account. If you can't sign in, email privacy@blackownedapp.ca and we'll action the request.
  • If we close your account for breaking these terms, any active paid promotion ends without a refund.

9. Disclaimers

  • Black Owned is provided "as is" and "as available". We don't promise uninterrupted, error-free, or secure operation, and we don't promise that you will find a match, a connection, a hire, a job, or customers.
  • We don't verify who members are. We don't run criminal background checks. We don't verify business claims, credentials, licences, insurance, ratings, or reviews. Meet and transact carefully — read our safety tips and use Report and Block.
  • You interact with other members at your own risk. We are not responsible for the conduct of any member, online or offline.

10. Limits on our liability

To the fullest extent the law allows: we are not liable for indirect, incidental, special, consequential, exemplary, or punitive damages, or for lost profits, revenue, data, goodwill, or opportunities. Our total liability for all claims relating to Black Owned is limited to the greater of (a) the amount you paid us in the 12 months before the claim, or (b) CAD $100. Nothing in these terms limits liability that cannot be limited by law.

11. Governing law and general

These terms are governed by the laws of the Province of Ontario and the federal laws of Canada that apply in Ontario, without regard to conflict-of-law rules, and you and we agree to the exclusive jurisdiction of the courts of Ontario, Canada, sitting in Toronto. If any part of these terms is found unenforceable, the rest stays in force. These terms, together with our Privacy Policy, are the whole agreement between you and us about Black Owned.

12. Changes to these terms

We may update these terms as the app or the law changes. When we do, we publish the new version with a new version number and date at the top of this page. For significant changes we'll tell you in the app or by email before they take effect. If you don't agree with an update, stop using Black Owned and delete your account — continuing to use the app means you accept the updated terms.
